1. Agreement to terms

By creating an account or using the Service you agree to these Terms of Service (“Terms”) and our Privacy Policy. If you use the Service on behalf of an organisation, you represent that you are authorised to bind it, and “you” refers to that organisation.

2. Eligibility & accounts

You must be at least 18 years old and provide accurate information. You are responsible for your account, your authorised users, the security of your credentials, and all activity under your account. Notify us of any unauthorised use at security@sunbots.in.

3. Subscriptions, billing & refunds

• Paid plans are billed via Razorpay on a recurring [monthly/annual] basis. Fees are shown at sign-up; taxes (including GST) are added as applicable.
• Subscriptions auto-renew at the then-current price unless cancelled before the renewal date. You can cancel anytime; cancellation takes effect at the end of the current billing period.
• Refunds: [state your refund/cancellation policy clearly].
• We may change pricing on [30] days' notice, effective at the next renewal.
• Usage-based features (AI generation, video, messaging) may be subject to plan limits or metered charges as described at purchase.

4. Your content & data

You retain ownership of the content, brand assets and data you submit or connect (“Customer Content”). You grant us a worldwide, non-exclusive licence to host, process, transmit and display Customer Content solely to provide and improve the Service and as directed by you (including publishing approved content to your connected accounts). You represent that you have all rights and permissions necessary for your Customer Content, your connected accounts, and any audience data you provide.

5. Data protection roles

Where we process personal data in Customer Content (e.g., your leads, subscribers, social audience or website visitors), you are the controller / Data Fiduciary and we are your processor / Data Processor. That processing is governed by our Data Processing Addendum (DPA), incorporated into these Terms.

6. Acceptable use

You must not, and must not permit others to: violate law or third-party rights; send spam or unlawful, deceptive or unsolicited marketing; infringe intellectual property; upload malware; probe or breach security; scrape or overload the Service; misuse AI features to generate illegal, infringing, harassing or deceptive content; impersonate others; or resell the Service except as permitted. You are responsible for complying with connected-platform rules and applicable marketing, email (e.g., CAN-SPAM/CASL) and SMS/telemarketing (e.g., India DLT) laws.

7. White-label & multi-client use (Agency edition)

As an agency customer you may present the Service to your own clients under your own brand (white-label) and manage multiple client workspaces, subject to these Terms. You are responsible for your clients' compliance, for your own customer agreements and privacy notices, and for having authority and a lawful basis to process each client's and their audiences' data. You act as controller (or your client's processor) for client data; Sunbots Innovations LLP acts as your processor under the DPA. You will not exceed the scope of access granted by your clients' connected accounts.

8. Third-party services

The Service integrates with third parties (e.g., Google, Meta, LinkedIn, TikTok, GitHub, payment and AI providers). Your use of those services is governed by their own terms and privacy policies; we are not responsible for them.

9. Intellectual property

The Service and all underlying software, models, templates and documentation are owned by us and our licensors and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription. We may use anonymised and aggregated data to operate and improve the Service. Feedback may be used without restriction.

10. AI-generated output

The Service uses AI to produce content. Output may be inaccurate or unsuitable; you are responsible for reviewing and approving content before it is published or used. We make no warranty that output is original, non-infringing or fit for a particular purpose.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY LAW. We do not warrant that the Service will be uninterrupted, secure or error-free, or produce any particular marketing result.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, OR LOSS OF PROFITS, REVENUE OR DATA. OUR TOTAL AGGREGATE LIABILITY IS LIMITED TO THE FEES YOU PAID IN THE [12] MONTHS PRECEDING THE CLAIM.

13. Indemnification

You will defend and indemnify us against third-party claims, losses and expenses arising from your Customer Content, your connected accounts, your use of the Service, or your breach of these Terms or applicable law.

14. Suspension & termination

We may suspend or terminate access for breach, non-payment, or legal/security reasons. You may cancel at any time. On termination, your right to use the Service ends; we will make Customer Content available for export for [30] days, after which we may delete it per our retention policy.

15. Governing law & disputes

These Terms are governed by the laws of India. The courts at [city, India] have jurisdiction, or disputes will be resolved by arbitration seated at [city, India] under the Arbitration and Conciliation Act, 1996. Nothing limits either party's right to seek injunctive relief.

16. Changes to the Terms

We may update these Terms; material changes will be notified and take effect on the stated date. Continued use after that date means you accept the updated Terms.
